(the “Company”) is pleased to offer you the following amendment to your employment letter dated April 13, 2005, as amended by letter dated April 21, 2006 (“Employment Agreement”). Except as otherwise set forth herein, the terms and conditions of the Employment Agreement remain in full force and effect without any modification and any terms used herein and not defined shall have the meaning set forth in the Employment Agreement.
