THIS EMPLOYMENT AGREEMENT (this “Agreement”) is effective as of the 1st day of May, 2008, between UTi, Services, Inc., a California corporation (the “Company”), and Gene Ochi (“Executive”). This Agreement amends and restates in all respects the Employment Agreement dated as of February 21, 2006, between the Company and Executive (the “Prior Agreement”).
