THIS FIFTH AMENDED AND RESTATED CREDIT AGREEMENT (the “Agreement”), dated as of December 31, 2008, is among EZCORP, INC., a Delaware corporation (the “Borrower”), each of the banks or other lending institutions which is or which may from time to time become a signatory hereto or any successor or assignee thereof (individually, a “Lender” and, collectively, the “Lenders”), UNION BANK OF CALIFORNIA, N.A., as syndication agent (in such capacity, together with its successors in such capacity, the “Syndication Agent”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as administrative agent for itself and the other Lenders (in such capacity, together with its successors in such capacity, the “Agent”) and as the Issuing Bank and Swing Lender (each as hereinafter defined).
