This Agreement and Plan of Merger (as amended, restated or supplemented from time to time, this “Agreement”) is made and entered into as of February 27, 2009 by and among Harris Stratex Networks Operating Corporation, a Delaware corporation (“Parent”), Eagle Networks Merger Corporation, a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), Telsima Corporation, a Delaware corporation (the “Company”), and Arun Sobti, as Holder Representative.
