THIS ADVISORY AGREEMENT (“Agreement”) is made and entered as of the 1st day of April, 2009 (the “Effective Date”), by and between CAPSTEAD MORTGAGE CORPORATION, a Maryland corporation (the "Company”), and ANTHONY R. PAGE, an individual resident of the State of Texas (“Advisor”). For purposes of this Agreement, the Company shall include itself, its predecessors, successors, affiliates, partial affiliates, shareholders, officers, directors, agents, representatives, and employees, all individually and in their official capacities.
