Reference is hereby made to (i) that certain Securities Purchase Agreement dated as of May 15, 2008, by and among Qiao Xing Mobile Communication Co., Ltd., a company incorporated under the laws of the British Virgin Islands (the “Company”), DKR Soundshore Oasis Holding Fund Ltd. (“Oasis”) and CEDAR DKR Holding Fund Ltd. (“Cedar”) (the “2008 Securities Purchase Agreement”), (ii) the Exchange Notes issued to Oasis and Cedar pursuant to the 2008 Securities Purchase Agreement (the “Exchange Notes”), and (iii) the New Notes issued to Oasis pursuant to the 2008 Securities Purchase Agreement (the “New Notes”, and together with the Exchange Notes, the “Notes”).
