PURCHASE AGREEMENT (this “Agreement”), dated February 28, 2005, by and among EisnerFast LLC, a New York limited liability company (the “Company”), EHS, LLC, a Delaware limited liability company (the “Representative”) and SS&C Technologies, Inc., a Delaware corporation, (“Buyer”).
