This AMENDMENT NO. 1 TO THE RIGHTS AGREEMENT (this Amendment”) is made as of November 11, 2005, between Enterasys Networks, Inc., a Delaware corporation (the “Company”), and EquiServe Trust Company, N.A. (the “Rights Agent”). Capitalized terms used but not otherwise defined in this Amendment No. 1 shall have the meanings given them in the Rights Agreement.
