AGREEMENT made and entered into in New York, New York, by and between Antigenics Inc. (the “Company”), a Delaware corporation with a principal place of business at 630 Fifth Ave. Suite 2100 New York, NY, and Bruce Leicher (the “Executive”), effective as of the 28th day of November, 2005 (the “Effective Date”) (the “Agreement”). Words or phrases which are initially capitalized or are within quotation marks shall have the meanings provided in Section 14 below and as provided elsewhere herein.
