This Agreement is made as of the 14th day of April 2006 by and between Marshall M. Sloane (hereinafter the “Consultant”) and Century Bancorp, Inc. (the “Company”) and its subsidiary, Century Bank and Trust Company (the “Bank”) (hereinafter collectively referred to as “Century”).
