GUARANTY, dated as of April 25, 2006 by Aroma Naturals, Inc., a Delaware corporation (the “Guarantor”) in favor of (i) Citizens Bank of Massachusetts, as agent (hereinafter, in such capacity, the “Administrative Agent”) for itself and the other banking institutions (hereinafter, collectively, the “Lenders”) which are or may become parties to that certain Revolving Credit Agreement dated as of May 19, 2004 (as amended and in effect from time to time, the “Credit Agreement”), among The Yankee Candle Company, Inc., a Massachusetts corporation (the “Borrower”), the Lenders and the Administrative Agent and (ii) each of the Lenders.

This SECOND AMENDMENT (this “Amendment”), dated as of March 28, 2006, to that certain Revolving Credit Agreement, dated as of May 19, 2004 (as modified and supplemented and in effect from time to time, the “Credit Agreement”), among The Yankee Candle Company, Inc., a corporation organized under the laws of Massachusetts (the “Borrower”), Citizens Bank of Massachusetts and the other lending institutions from time to time party thereto (collectively, the “Lenders”) and Citizens Bank of Massachusetts as agent for itself and such other lending institutions (the “Administrative Agent”).

This REVOLVING CREDIT AGREEMENT is made as of April 25, 2006, by and among The Yankee Candle Company, Inc. (the “Borrower”), a Massachusetts corporation having its principal place of business at 16 Yankee Candle Way, South Deerfield, MA 01373, Citizens Bank of Massachusetts and the other lending institutions listed on Schedule 1 hereto (the “Lenders”) and Citizens Bank of Massachusetts as agent for itself and such other lending institutions (the “Administrative Agent”).
