THIS EMPLOYMENT AGREEMENT (the “Agreement”), is entered into as of August 21, 2007 by and between Critical Therapeutics, Inc., a Delaware corporation with its principal place of business at 60 Westview Street, Lexington, MA 02421 (the “Company”), and Thomas P. Kelly, an individual residing at 487 Bedford Road, Carlisle, MA 01741 (the “Executive”).
