AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) dated as of September 18, 2007, among PAREXEL INTERNATIONAL CORPORATION, a Massachusetts corporation (the “Administrative Borrower”), PAREXEL INTERNATIONAL HOLDING B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) (the “Dutch Borrower”; and together with the Administrative Borrower and the other Persons who are or hereafter are designated as a Borrower pursuant to Section 2.21 hereto, the “Borrowers”), the Subsidiaries of the Borrowers party hereto, the LENDERS party hereto, JPMORGAN CHASE BANK, NATIONAL ASSOCIATION, as Administrative Agent, and J.P.
