WHEREAS, The Talbots, Inc., a Delaware corporation that owns directly or indirectly all or a majority of the issued and outstanding equity of each Guarantor (the “Borrower”), the lenders from time to time party to the Credit Agreement referred to below (each a “Lender” and collectively, the “Lenders”) and the Agent are parties to a Term Loan Agreement dated as of July 24, 2006 (such Agreement, as amended, supplemented, restated or otherwise modified from time to time, being hereinafter referred to as the “Credit Agreement”);

WAIVER AND AMENDMENT No. 2, dated as of December 31, 2007 (the “Amendment”), to the Credit Agreement referred to below by and among The Talbots, Inc., a corporation duly organized and validly existing under the laws of the State of Delaware (the “Borrower”), the lenders from time to time party thereto (each a “Lender” and collectively, the “Lenders”), and Mizuho Corporate Bank, Ltd., a corporation organized and existing under the laws of Japan (“Mizuho”), as arranger and administrative agent for the Lenders (in such capacities, the “Agent”).
