THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of April 1, 2008, with an effective date of April 1, 2008 (the “Effective Date”), by and between Critical Therapeutics, Inc., a Delaware corporation with its principal place of business at 60 Westview Street, Lexington, MA 02421 (the “Company”), and Trevor Phillips, Ph.D., an individual residing at 26 South Mill Street, Hopkinton, MA 01748 (the “Executive”).
