THIS AMENDED AND RESTATED CREDIT AGREEMENT is made as of July 9, 2008, by and among TIMEPAYMENT CORP., a Delaware corporation having its chief executive office at 10-M Commerce Way, Woburn, MA 01801 (the “Borrower”); SOVEREIGN BANK, having an office at 75 State Street, Boston, Massachusetts 02109 (“Sovereign”); the other financial institutions from time to time parties hereto as Lenders (together with Sovereign, the “Lenders”); and SOVEREIGN BANK, as agent for the Lenders (in such capacity, the “Agent”).
