(the “Company”) has selected you to receive the restricted stock award described above, which is subject to the provisions of the Company’s 2004 Stock Incentive Plan, as amended (the “Plan”) and the terms and conditions contained in this Restricted Stock Agreement (the “Agreement”). This FIRST AMENDMENT TO AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Amendment”), is made and entered into as of the 16th day of September, 2008, by and between Critical Therapeutics, Inc., a Delaware corporation (the “Company”), and Scott B. Townsend (the “Executive”). The Company and the Executive may be referred to herein as the “parties.”
