This Stock Purchase Agreement (this “Agreement”) is entered into as of April 1, 2009, by and among Clinical Data, Inc., a Delaware corporation (“Parent”), Clinical Data B.V., a company registered under the laws of the Netherlands (“BV” and together with Parent, “Sellers”), Beckman Coulter, Inc., a Delaware corporation, or its designee (“Purchaser”), Beckman Coulter GmbH, a company registered under the laws of Republic of Germany (“BC Germany”) and Beckman Coulter Holdings GmbH, a company registered under the laws of Republic of Germany (“BCH” and together with BC Germany, the “European Purchasers”). Certain capitalized terms used in this Agreement are defined on Exhibit A attached hereto.
