This letter agreement will amend the letter agreement (the "Employment Letter") dated as of January 1, 2002 between you and Armor Holdings, Inc. (the "Company"). Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Employment Letter. Except as expressly modified by this letter agreement, the Employment Letter shall remain in full force and effect.
