Merger Sub, Inc., a Delaware corporation (the "Successor"), AirGate PCS, Inc., a Delaware corporation (the "Issuer" or the "Company"), AGW Leasing Company, Inc., a Delaware corporation ("AGW"), AirGate Network Services, LLC, a Delaware limited liability company ("ANS"), AirGate Service Company, Inc., a Delaware corporation ("ASC" and, together with AGW and ANS, "Guarantors"), and The Bank of New York, as Trustee (the "Trustee").
