THIS AMENDMENT is made as of December 6, 2004, by and between PDR Services LLC, a Delaware limited liability company, formerly known as PDR Services Corporation, a Delaware corporation ("PDR"), DIAMONDS Trust, Series 1, a unit investment trust organized under the laws of the State of New York (the "Trust"), and ALPS Distributors, Inc., formerly known as ALPS Mutual Funds Services, Inc., a Colorado corporation ("ADI").
