This AMENDMENT NUMBER ONE to the Master Repurchase Agreement (‘‘Amendment Number One’’) is made and is effective as of this 15th day of December, 2006 (the ‘‘Effective Date’’), among MORTGAGEIT HOLDINGS, INC. and MORTGAGEIT, INC.
