THIS SECURITIES PURCHASE AND REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of August 29, 2007, by and among Majesco Entertainment Company, a Delaware corporation with headquarters located at 160 Raritan Center Parkway, Edison, New Jersey 08837 (the “Company”), and the investors listed on the Schedule of Investors attached hereto as Exhibit A (individually, an “Investor” and collectively, the “Investors”).
