THIS AGREEMENT is made as of this 1st day of January, 2008 by and between Greenlight Reinsurance, Ltd., incorporated under the laws of the Cayman Islands as an exempted company with limited liability and a holder of a Class B Insurer’s license issued in accordance with the terms of the Insurance Law (as revised) of the Cayman Islands (“Greenlight Re”), and DME Advisors, LP, a Delaware limited partnership (“DME”), and, solely for the purposes set forth in Section 4.1 (d) and (e), Greenlight Capital Re, Ltd. incorporated under the laws of the Cayman Islands as an exempted company with limited liability (“Greenlight Capital Re”);

TERMINATION AGREEMENT, dated as of January 1, 2008 (this “Agreement”), by and between Greenlight Reinsurance, Ltd., a Cayman Islands insurance company (the “Company”), DME Advisors, LP, a Delaware limited partnership (the “Investment Advisor”), and Greenlight Capital Re, Ltd., a Cayman Islands exempted company with limited liability (“Greenlight Capital Re”).
