Security Agreement, dated as of November 6, 2001 made by and among ISCO International, Inc., a Delaware Corporation with offices at 451 Kingston Court, Mt. Prospect, Illinois 60056 and formerly known as Illinois Superconductor Corporation (the “Company”), each of the Company’s undersigned subsidiaries (the “Subsidiaries,” the Company and Subsidiaries are hereafter collectively referred to as the “Debtors” or individually as a “Debtor”), Elliott Associates, L.P., a Delaware limited partnership with offices at 712 Fifth Avenue, 36th Floor, New York, New York 10019 (“Elliott”), Alexander Finance, LP, an Illinois limited partnership with offices at 1560 Sherman Avenue, Evanston, IL 60201 (“Alexander”; Elliott and Alexander are sometimes individually referred to as a “Secured Party” or collectively referred to as “Secured Parties”) and Elliott Associates, L.P. as collateral agent (the “Collateral Agent”).

NOTE PURCHASE AGREEMENT (“Agreement”) dated as of November 6, 2001 (the “Closing Date”) by and among Elliott Associates, L.P., a Delaware limited partnership (“Elliott”), Alexander Finance, L.P., an Illinois limited partnership (“Alexander” and together with Elliott, the “Purchasers”) and ISCO International, Inc., a corporation organized and existing under the laws of Delaware and formerly known as Illinois Superconductor Corporation (the “Company”).

This Settlement Agreement and Release (“Agreement”) is entered into this 6th day of November, 2001 by Craig M. Siegler (“Plaintiff”) and Illinois Superconductor Corporation (now known as ISCO International, Inc.) (“ISCO”).
