THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of this 18th day of October, 2004, by and between THE WESTIN CHICAGO LIMITED PARTNERSHIP, a Delaware limited partnership (“Seller”), and JER PARTNERS ACQUISITIONS III, LLC, a Delaware limited liability company (“Purchaser”).
