THIS AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT (“Agreement”) of Kiewit Investment Fund LLLP (the “Partnership”), effective as of July 22, 2005, is entered into by and among Kiewit Investment Holdings Inc., a Delaware corporation (the “General Partner”), and Kiewit Finance Group Inc., a Delaware corporation (the “Initial Limited Partner”), together with any other Persons who become Partners in the Partnership as provided herein.
