THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made and entered into as of September 19, 2005 by and between Midway Games Inc., a Delaware corporation (the “Company”), and Banc of America Securities LLC and the other Initial Purchasers named in the Purchase Agreement referred to below (collectively, the “Initial Purchasers”), for whom Banc of America Securities LLC is acting as representative, pursuant to that certain Purchase Agreement, dated as of September 13, 2005 (the “Purchase Agreement”) between the Company and the Initial Purchasers.
