DEPOSIT AGREEMENT, dated as of January 13, 2006, among FIRST INDUSTRIAL REALTY TRUST, INC., a Maryland corporation (the “Company”), COMPUTERSHARE TRUST COMPANY, N.A., a national banking association, and COMPUTERSHARE SHAREHOLDER SERVICES, INC., a Delaware corporation (collectively Computershare Trust Company, N.A. and Computershare Inc. shall be referenced herein as “Depositary” or individually as the “Trust Company” and “CI”, respectively), and the holders from time to time of the Receipts described herein.
