AMENDED AND RESTATED CREDIT AGREEMENT, dated as of June 16, 2006, among AMERUS GROUP CO., an Iowa corporation (the “Borrower”), the lending institutions listed from time to time on Annex I hereto (each a “Bank” and, collectively, the “Banks”), BANK OF AMERICA, N.A., CITIBANK, N.A. and THE BANK OF NEW YORK, as Co-Syndication Agents, and JPMORGAN CHASE BANK, N.A. as Administrative Agent (the “Administrative Agent”).
