THIS OPTION (“Agreement”), is made and entered into as of the date of the last execution hereof, which date is the 22nd day of February , 2006 (the “Effective Date”), by and between the CITY OF SIKESTON, a Municipal Corporation, of the State of Missouri, hereinafter referred to as “Optionor” and BOOTHEEL AGRI-ENERGY, LLC., a Delaware Limited Liability Company, hereinafter referred to as “Optionee”. (Optionor and Optionee are collectively referred to herein as “Parties”, and individually as “Party”).

The undersigned subscriber, desiring to become a member of Bootheel Agri-Energy, LLC (“Bootheel”), a Missouri limited liability company, with its principal place of business at 1214 Linn Street, Sikeston, Missouri, 63801, hereby subscribes for the purchase of the membership interests of Bootheel and agrees to pay the related purchase price, identified below.

This Agreement is entered into this 28th day of July 2006 by and between DELTA-T Corporation, a Virginia corporation located at 323 Alexander Lee Parkway, Williamsburg, Virginia 23185, USA (hereinafter “DELTA-T”), and Bootheel Agri-Energy, LLC located at 1214 Linn Street, Sikeston, MO 63801 (hereinafter “Client”), which parties may be referred to individually as a “Party” or jointly as the “Parties.”

THIS ADDENDUM (the “Addendum”) supplements and modifies the Project Development Agreement (Revised) Bootheel Agri-Energy LLC (“Owner”) and Delta-T Corporation (“Engineer”), dated July 28, 2006 (the “PDA”), which is attached hereto and incorporated by reference to this Addendum, to increase Engineer’s services and scope of work as here after specified.
