This Escrow Agreement (the “Agreement”) dated as of January 17, 2006 is by and between Bootheel Agri-Energy, LLC, a Missouri limited liability company (the “Company”), and U.S. Bank (the “Escrow Agent”) (the “Escrow Agent” and the “Company” may also be hereinafter referred to as the “Parties”). This Agreement amends and restates the Escrow Agreement between the parties dated November 13, 2006.
