This Expense Cap/Reimbursement Agreement dated as of November 15, 2006 between Kirr, Marbach & Company, LLC (the “Adviser”) and Kirr, Marbach Partners Funds, Inc. (the “Company”) on behalf of the Kirr, Marbach Partners Value Fund (the “Fund”).
