THIS EQUITY PURCHASE AGREEMENT (this “Agreement”), dated as of February 25, 2007, is by and among L&W Supply Corporation, a Delaware corporation (“Buyer”), Joseph G. Zucchero, an individual resident in the State of California (“Individual”), JCSG Holdings Corporation, a California corporation (“Seller Holdco”), the Joseph G. Zucchero Family Trust dated September 12, 1988 (“Seller Trust” and, together with Individual and Seller Holdco, “Sellers” ), and each of the entities listed on Exhibit A-1 hereto (collectively, the “Companies”).
