This Amended and Restated Limited Liability Company Agreement (this “Agreement”) of Everest Video Systems, L.L.C., a Delaware limited liability company (the “Company”) is made effective as of April 2, 2007 by and between the Company and American Home Systems, Inc., a Nevada corporation (“Member”), as sole member of the Company, and amends and restates in its entirety the Limited Liability Agreement of the Company.
