This certifies that The Canopy Group, Inc., a Utah corporation, or assigns (collectively, the “Holder”), for value received, is entitled to purchase, at the Stock Purchase Price (as defined below), from MTI Technology Corporation, a Delaware corporation (the “Company”), up to that number of fully paid and nonassessable shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), equal to 125,000 (the “Warrant Shares”).
