This SHAREHOLDER SUPPORT AGREEMENT (this “Agreement”) is entered into as of June 28, 2007, by and between infoUSA Inc., a Delaware corporation (“Parent”), Knickerbocker Acquisition Corp., a New York corporation and a direct wholly-owned subsidiary of Parent (“Merger Sub”) and the holders of capital stock of Guideline, Inc., a New York Corporation (“Company”) identified on Exhibit A attached hereto (each a “Shareholder,” and collectively the “Shareholders”).
