This Amended and Restated Stock Subscription Agreement and Stockholder Agreement (this “Agreement”) is entered into as of November 30, 2006 by and among (i) AgriFuel Co., a Delaware corporation (the “Company”), (ii) the purchasers of common stock of the Company signatory hereto (collectively the “Purchasers” and each individually a “Purchaser”), and (iii) Metalico, Inc., a Delaware corporation (“Metalico”).
