THIS AGREEMENT OF SALE AND PURCHASE (The “Agreement”) is made as of this 1st day of October, 2007 by and between Stockman’s Casino, a Nevada corporation (“Seller”) and Dhillon Hospitality Management Inc. of 3309 Vancouver Drive, Modesto, California 95355, or its assigns (“Purchaser”). In consideration of the agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Seller and Purchaser hereby agree as follows:
