This Change of Control Severance Agreement (the “Agreement”) is entered into between eyeonics, inc. (the “Company,” which term shall include any successor by merger, consolidation, sale of substantially all of the Company’s assets or otherwise) and J. Michael Judy (“Executive”) effective as of the 13th day of July, 2007, or the inception of Executive’s employment with the Company, whichever is later (“Effective Date”).
