This Management Retention Agreement, as amended and restated on October 9, 2007, (the “Agreement”) is made and entered into by and between John W. Schoen (the “Executive”) and PCTEL, Inc. (the “Company”). This Agreement shall supersede the Management Retention Agreement dated as of March 11, 2002 between Executive and Company.
