This Executive Severance Agreement (the “Agreement"), effective December 31, 2007 (the “Effective Date"), is between and among Navistar International Corporation, a Delaware corporation (the “Company"), its principal operating subsidiary, International Truck and Engine Corporation, a Delaware corporation (“INTERNATIONAL TRUCK AND ENGINE CORPORATION”), and (the “Executive") (each a “Party” and collectively, the “Parties"). For purposes of this Agreement, “INTERNATIONAL” shall mean the Company and all of its, direct or indirect, wholly-owned subsidiaries, including, without limitation, INTERNATIONAL TRUCK AND ENGINE CORPORATION, and “INTERNATIONAL TRUCK AND ENGINE CORPORATION” shall mean only International Truck and Engine Corporation, unless the context clearly indicates the contrary.
