This Guaranty of Lease (this “Guaranty”), dated as of January 1, 2008, is made by Assisted Living Concepts, Inc., a Nevada corporation (“ALC”) (together with its successors and assigns, including without limitation any entity succeeding thereto by consolidation, merger or acquisition of its assets substantially as an entirety, “Guarantor”), for the benefit of VENTAS REALTY, LIMITED PARTNERSHIP, a Delaware limited partnership (together with its successors and assigns, “Landlord”).

This AMENDED AND RESTATED MASTER LEASE AGREEMENT (this agreement, as it may be amended, renewed, supplemented, extended or replaced by the parties hereto from time to time, this “Lease”) is made and entered into as of January 1, 2008, between VENTAS REALTY, LIMITED PARTNERSHIP, a Delaware limited partnership (together with its successors and assigns, “Landlord”), and each of the entities identified on Schedule 1.3 attached hereto, as the same may be modified from time to time pursuant to Section 17 of this Lease (together with their permitted successors and assigns, individually and collectively, “Tenant”).
