Executive, on behalf of his heirs, administrators, representatives, executors, successors and assigns, and the Company, on behalf of each of the Company’s subsidiaries, partnerships, joint ventures, limited liability companies and other affiliates, including entities in which the Company has a significant investment (collectively, the Company and such entities, the “Affiliated Group”) hereby agree to the following terms of Executive’s employment with the Company (the “Agreement”):

This is a complete and final Agreement between RUTH FATTORI (for yourself, your spouse and anyone acting for you) (“you”), and Motorola, Inc. This Agreement has been individually negotiated and has not been reached as part of a group incentive or other separation program.
