THIS SIXTEENTH AMENDMENT TO LOAN AND SECURITY AGREEMENT (this “Amendment”) is entered into as of the 7th day of March, 2008 by and among the banks that are or may from time to time become parties hereto (individually a “Bank” and collectively, the “Banks”), LASALLE BANK NATIONAL ASSOCIATION, a national banking association (in its individual capacity, “LaSalle”), as agent (“Agent”) for the Banks, and SIGMATRON INTERNATIONAL, INC., a Delaware corporation (the “Borrower”).

FOR VALUE RECEIVED, SIGMATRON INTERNATIONAL, INC., a Delaware corporation (hereinafter referred to as “Borrower”), promises to pay to the order of LASALLE BANK NATIONAL ASSOCIATION, a national banking association, at its office at 135 South LaSalle Street, Chicago, Illinois 60603 (hereinafter sometimes referred to as the “Lender”), or such other place as the holder hereof may designate in writing, in the manner provided hereinafter and in the Mortgage securing this Note, the original principal sum of Two Million Eight Hundred Five Thousand and 00/100 Dollars ($2,805,000.00) on or before April 30, 2013, with interest from the date of first disbursement hereunder on the balance of principal remaining from time to time outstanding at the rate of five and 59/100 percent (5.59%) per annum (the “Interest Rate”).
