This Employment Agreement (this “Agreement”) is made and entered on March 21, 2007 retroactively effective as of January 1, 2007 (the “Effective Date”) and amended and restated as of June 24, 2008 (the “Restatement Date”) by and between Metalico, Inc., a Delaware corporation (hereinafter referred to as “Employer”), and Michael J.
