This SHARE PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of January 5, 2008 by and among 7098081 Canada Inc., incorporated under the Canada Business Corporations Act (“Acquireco”); Wi-Sys Communications Inc., incorporated under the Canada Business Corporations Act (the “Company”); and Gyles Panther and Linda Panther (each a “Shareholder” and collectively, the “Shareholders”); and is acknowledged and agreed to by PCTEL, Inc.
