THIS FIRST AMENDMENT TO ASSET PURCHASE AGREEMENT (this “First Amendment”), dated as of January 31, 2009 (the “Amendment Date”), is made by and between GSC Enterprises, Inc., a Texas corporation (“Seller”) and Nash Finch Company, a Delaware corporation (“Parent”).
