This AMENDMENT is made on the 19th day of February 2009 to amend the EMPLOYMENT AGREEMENT (the “Agreement”) dated May 1, 2006 by and between BARRIER SYSTEMS, INC., a California corporation, (the “Company”) and Owen Denman (the “Executive”), as previously amended by a Form Amendment to comply with Section 409A of the Internal Revenue Code.
