We have advised you that Raymond James and Associates (“Raymond James”) has been retained by the Special Committee (the “Committee”) of the Board of Directors of NaviSite, Inc. (collectively with its direct and indirect subsidiaries, the “Company”). In connection with the consideration by Atlantic Investors, LLC (“you”) of a possible transaction with the Company (a “Possible Transaction”), the Company has made available to you and is prepared to make available to you certain information concerning the Company. As a condition to such information being furnished to you and your Representatives, you agree that you will, and will cause your Representatives to, treat the Evaluation Material (as hereinafter defined) in accordance with the provisions of this letter agreement.
